The Honors

Recapitalization Deal of the Year — Legacy Swim Group Recapitalized by Main Street Capital Corporation

Navagant advised Legacy Swim Group (“Legacy”), the largest combined franchisee of a leading swim school brand in the U.S., on its growth investment and recapitalization with Main Street Capital Corporation (“Main Street”, NYSE: MAIN). Legacy operates 44 Swim School locations across 10 states, offering swim programs for children ages 4 months to 12 years that promote confidence, safety, and skill development in the water. As part of the recapitalization, Legacy simultaneously completed the merger of several of the most successful franchisees prior to close, while also completing the acquisition of a 5-school Texas-based franchisee.

The recapitalization with Main Street Capital further strengthens Legacy’s ability to enact its growth roadmap, consisting of synergistic growth opportunities in existing locations and geographical de novo expansion, while maintaining the highest quality of swim education and youth enrichment programs.

This investment will allow us to accelerate growth across key markets and expand access to high-quality swim education. Main Street Capital’s partnership and resources will help us continue delivering best-in-class swim instruction and support our goal of greatly expanding our school count in the coming years.

Mike Priest, CEO, Legacy Swim Group

This partnership represents a defining moment for Legacy and the franchise system. By uniting two best-in-class operators and partnering with Main Street Capital to bring in the first institutional capital, Legacy is poised to expand its reach and deepen its impact on youth enrichment and water safety education.

Education & Services Deal of the Year — Medality Acquired by TrueLearn

Navagant advised Medality (formerly MRI Online), the leading SaaS subscription provider of education and practice development solutions for radiologists, on its sale to TrueLearn, a portfolio company of LLR Partners. Based in Cincinnati, Ohio, Medality helps tens of thousands of radiologists from over 100 countries upskill in advanced imaging areas through case-based, microlearning video courses taught by expert faculty. Medality partners with 150+ academic institutions and radiology practices through training, professional development, and compliance solutions to help tackle the global workforce shortage.

By combining Medality’s education and practice development solutions with TrueLearn’s learning and analytics platform, the combined companies aim to expand the breadth of radiology practices globally and improve diagnostic accuracy and efficiency.

We’re excited to partner with TrueLearn to expand our course library, technology platform and capabilities for our learners and institutions. Almost every medical condition relies on quality medical imaging, and Medality enables radiologists to upskill in high-growth, advanced imaging areas.

Daniel Arnold, Co-Founder & CEO, Medality

Daniel and his team have built an incredible SaaS platform with impressive global reach. TrueLearn is the ideal partner for Medality to continue its growth trajectory while enhancing its offering through a more robust learning platform and enhanced analytics. We could not be more pleased with this outcome nor prouder to have represented the market leader in radiologist education and practice development.

Shawn Keenan, Managing Director, Navagant

Navagant congratulates the deal teams on both transactions — Jacob Voorhees, Jeff Bache, Caleb Axelson, and Cherry Huang on Legacy Swim Group, and Shawn Keenan, Jeff Bache, Sachin Raval, and Javier Lopez Membreno on Medality — and looks forward to celebrating both wins at the Americas M&A Atlas Awards Gala this July.
