Sector valuations held a wide band at the June close, with harmonic-mean TEV/EBITDA multiples ranging from 2.7× (EdTech) to 10.1× (Corporate Training). Workforce Development led the coverage group at 88% of 52-week levels, with Higher Education just behind at 87%, while EdTech traded the widest discount at 62%. Laureate Education closed June at 99.0% of its 52-week high, American Public Education at 96.3%, and Lincoln Technical Institute at 95.3%. Chegg was the month’s strongest single move, up 48.2%, with DHI Group adding 24.9%. June’s headline transactions came in Workforce Development and PreK-12, where Bain Capital acquired field workforce platform ARCOS and BDT & MSD Partners took Pansophic Learning.

Corporate Training

Comp set 10 companies  ·  Harmonic mean 1.9× TEV/Rev, 11.7× TEV/EBITDA

Corporate Training closed at 67% of 52-week highs while carrying the coverage group’s richest EBITDA multiple at an 11.7× harmonic mean. Stride (89.5%), Wilmington (83.8%), John Wiley & Sons (82.7%), and Pearson (82.3%) led the group into month-end, while SkillSoft (46.4%), Thinkific (47.5%), and FranklinCovey (51.3%) traded at the deepest discounts. John Wiley & Sons was the only meaningful gainer on the month at 8.0%, with Docebo up 0.8%. Stride holds the strongest twelve-month return in the set at 106.3%, ahead of NIIT at 23.0% and SkillSoft at 16.4%. June M&A was led by Alpha Leonis Partners’ acquisition of human capital software developer Talana and Morson Group’s purchase of 3B Training.

EdTech

Comp set 3 companies  ·  Harmonic mean 0.7× TEV/Rev, NM TEV/EBITDA

EdTech was the most discounted sub-sector at 62% of 52-week highs, on a 0.7× TEV/Revenue harmonic mean and no meaningful EBITDA multiple across the three-company set. Nerdy closed strongest at 74.7% of its high, with D2L at 68.2% and Chegg at 31.7%. Chegg was nonetheless the month’s standout, up 48.2%, and added 97.2% over three months, though it carried a -114.6% LTM EBITDA margin on a 19.7% revenue decline. D2L is the only name in the set with positive EBITDA, at an 8.1% margin on 12.3% growth, and leads the twelve-month window at 27.8% behind Coursera at 30.9%. June deal flow leaned toward curriculum and coding platforms, headlined by the Gates Foundation’s acquisition of Carnegie Learning and August Equity’s purchase of Qintil.

PreK-12

Comp set 4 companies  ·  Harmonic mean 0.9× TEV/Rev, 9.4× TEV/EBITDA

PreK-12 closed at 76% of 52-week highs with a 0.9× TEV/Revenue and 9.4× TEV/EBITDA harmonic mean, on the coverage group’s thinnest estimated EBITDA margin at 1%. Stride (89.4%) and Bright Horizons (87.1%) finished near their highs, while Scholastic trailed at 54.1% despite gaining 23.7% on the month, the sector’s best single move. Stride leads the set over twelve months at 106.3%, with Bright Horizons at 13.5%, and Bright Horizons carries the widest revenue multiple in the group at 3.3× on 9.7% growth. Nursery and early childhood consolidation dominated June, with Busy Bees Nurseries, International Schools Partnership, Brookfield Corporation, and Quad Partners all adding operators.

Higher Education traded at 87% of 52-week highs, the second-narrowest discount in our coverage, on a 1.2× TEV/Revenue and 9.0× TEV/EBITDA harmonic mean and the group’s strongest estimated 2025 revenue growth at 7%. Laureate Education closed June at 99.0% of its high, American Public Education at 96.3%, Lincoln Technical Institute at 95.3%, and Perdoceo Education at 94.5%, while D2L (68.3%) and Strategic Education (70.4%) trailed. Universal Technical Institute leads the set over twelve months at 122.7%, with Lincoln Technical Institute at 100.4% and Adtalem Global Education at 86.7%. Lincoln also led the three-month window at 46.2%, ahead of Perdoceo at 27.0% and American Public Education at 26.4%. June M&A skewed toward vocational and professional programs, with Activa Capital acquiring apprenticeship provider Institut NEMO and byDesign Ventures taking the Association for Advanced Training in the Behavioral Sciences.

Workforce Development

Workforce Development led the coverage group at 88% of 52-week highs, on a 0.9× TEV/Revenue and 8.9× TEV/EBITDA harmonic mean, and carried the widest estimated 2025 EBITDA margin at 17% against revenue growth of -1%, the only negative growth reading in our coverage. Korn Ferry (90.9%), Randstad (90.6%), and DHI Group (89.6%) all finished within eleven points of their highs, with Wolters Kluwer at 88.4% and HealthStream at 80.8%. DHI Group was the month’s standout at 24.9%, the three-month leader at 71.7%, and also leads over twelve months at 14.5%. June M&A centered on workforce software and staffing, headlined by Bain Capital’s acquisition of field workforce platform ARCOS and Beeline’s purchase of MBO Partners.
