Sector valuations closed the year in a tight band, with harmonic-mean TEV/EBITDA multiples running from 4.9× (EdTech) to 9.9× (PreK-12), while Corporate Training carried the richest revenue multiple at 1.9×. Corporate Training also led the coverage group at 86% of 52-week levels, ahead of Higher Education and Workforce Development at 82% each, with PreK-12 at 67% and EdTech the widest discount at 60%. Cengage Learning finished December at its 52-week high, with D2L at 98.1%, Adtalem Global Education at 97.8%, Pearson at 97.7%, Universal Technical Institute at 96.3%, and SkillSoft at 96.2%. SkillSoft was the month’s strongest single move at 28.1%, just ahead of D2L at 27.6% and Nerdy at 22.5%. December’s headline transaction was The Najafi Companies’ acquisition of EVERFI, the digital learning software platform.

Comp set 10 companies  ·  Harmonic mean 1.9× TEV/Rev, 9.4× TEV/EBITDA

Corporate Training carried the richest revenue multiple in our coverage at a 1.9× TEV/Revenue harmonic mean, alongside 9.4× TEV/EBITDA, and closed the year strongest at 86% of 52-week highs. Pearson finished December at 97.7% of its high, with SkillSoft at 96.2% and Stride at 92.1%, while Thinkific (65.8%) and Docebo (79.9%) traded at the deepest discounts. SkillSoft led the month at 28.1% and the three-month window at 23.7%, with Stride up 24.6% over three months and 76.5% over twelve, ahead of NIIT at 54.3% and John Wiley & Sons at 40.7%. The group also carries the lightest balance sheet in our coverage at 0.6× debt to 2024E EBITDA. December M&A was headlined by The Najafi Companies’ acquisition of EVERFI, alongside Charterhouse Capital Partners’ purchase of Metrodora.

Comp set 5 companies  ·  Harmonic mean 1.1× TEV/Rev, 4.9× TEV/EBITDA

EdTech was the most discounted sub-sector at 60% of 52-week highs, on a 1.1× TEV/Revenue and 4.9× TEV/EBITDA harmonic mean across a five-company set that includes Cengage Learning and Coursera. Cengage closed December at its 52-week high and D2L at 98.1%, while Chegg sat at just 14.0% following a 10% revenue decline and a -94% LTM EBITDA margin. The group carries the heaviest leverage in our coverage at 5.5× debt to 2024E EBITDA and the only negative estimated EBITDA margin at -22%. D2L led the month at 27.6% and is the only name in the set positive over twelve months, at 67.0%; Nerdy was up 22.5% on the month and 78.8% over three months but down 51.2% over twelve, with Coursera at -57.6%. December was the busiest month for deal flow in our coverage, with 21 EdTech transactions recorded.

PreK-12 closed at 67% of 52-week highs with a 0.8× TEV/Revenue harmonic mean, the lowest revenue multiple in our coverage, against the highest TEV/EBITDA reading at 9.9× and the thinnest estimated EBITDA margin at 2%. Stride finished at 92.1% of its high and Bright Horizons at 78.1%, while Scholastic (52.3%) and Nerdy (45.0%) traded near half their highs. Nerdy led the month at 22.5% and the three-month window at 78.8%, while Stride holds by far the strongest twelve-month return in the set at 76.5%, ahead of Bright Horizons at 13.2% and against Scholastic at -42.7%. Bright Horizons carries the widest revenue multiple in the group at 3.1× on 13% growth, and the highest EBITDA multiple at 20.6×. December M&A ran across international and cram schools, with Kohlberg Kravis Roberts acquiring St. Jude College Dasmariñas Cavite in the Philippines, International Schools Partnership taking Ekpaideutiria Platon in Greece, and International Education Partnership buying Colégio Luso Internacional De Braga.

Cengage Learning finished December at its 52-week high, with D2L at 98.1%, Adtalem Global Education at 97.8%, Pearson at 97.7%, Universal Technical Institute at 96.3%, Grand Canyon Education at 94.5%, and Laureate Education at 91.5%. Barnes & Noble Education is the outlier at 7.4% as its pre-restructuring 52-week high remains in the trailing window. D2L led the month at 27.6%, ahead of American Public Education at 9.1% and Pearson at 3.2%, and American Public Education leads over twelve months at 130.1%, with Universal Technical Institute at 102.2% and D2L at 67.0%. Workforce Development closed at 82% of 52-week highs on a 1.0× TEV/Revenue and 8.0× TEV/EBITDA harmonic mean, the lowest EBITDA multiple in our coverage, and carried the widest estimated 2024 EBITDA margin at 18% against revenue growth of -4%, the only negative growth reading in our coverage. HealthStream closed December at 94.9% of its high, Learning Technologies Group at 93.5%, and Wolters Kluwer at 92.9%, with Korn Ferry at 83.6%, Randstad at 66.8%, and DHI Group trailing at 59.4%. Learning Technologies Group was the only name to top all three windows, up 6.7% on the month, 20.9% over three months, and 19.3% over twelve, with Wolters Kluwer at 17.3% and HealthStream at 15.9% over the twelve-month window. December M&A stayed granular across instruction, certification, and professional training, headlined by Clarion Capital Partners’ acquisition of Arthur Murray International and Protom’s purchase of Espero Formazione.
